FTP terminates waiting period in Scientific Games WMS merger

The Federal Trade Commission has given notice of the early termination of the waiting period under the HSR Act with regard to Scientific Games’ proposed acquisition of WMS Industries.

Termination of the HSR Act waiting period satisfies one of the conditions required for completion of the merger but the transaction remains subject to additional conditions, including the approval of the merger agreement by WMS stockholders and receipt of gaming approvals.

Scientific Games agreed to acquire WMS for $26.00 in cash per common share, or approximately $1.5 billion in the aggregate .
